Nedfield and CIC sign supplementary licensing agreement
Nedfield also increases stake in Commodore International BV

Considering the introduction of a new productportfolio by Commodore International
Corporation (CIC) Nedfield N.V. (Nedfield) has as of 31 December 2008 signed a
supplementary licensing agreement with CIC for the use of the “Commodore” trademark for
specific new product categories. This enables Nedfield to generate additional revenues via
Commodore International B.V. (CIBV), which in the first five years can accumulate up to 1,5
% of the turn-over that CIC will realise for these products. Within the framework of the
agreement, Nedfield also increased it’s stake in CIBV with 24 % up to 75 %. The acquisition
of the stake at the value of € 7 million, will be paid through the settlement of accounts
receivable and the delivery of a block of Nedfield shares that already were issued.
The transaction as of 31 December 2008 between Nedfield en CIC follows an agreement between
parties that was closed in 2008, whereby Nedfield obtained a call option for the remaining stake in
CIBV. The payment by Nedfield to CIC for the shares CIBV will take place through the settlement
of accounts receivable at the value of € 2 million and for the remaining part through the delivery of
Nedfield shares which already were issued at a value of € 7,75 per share. These shares were
deposited within the Nedfield group for the benefit of a third party. CIC has granted Nedfield the
right to continue to use the shares as security for the benefit of third parties.
The increase of the majority stake in CIBV is coherent with the strategy of Nedfield to sell the
rights for the “Commodore” trademark to an external party within a reasonable timeframe and in
the meantime generate revenues through licensing agreements and create value by means of the
“Commodore” trademark. Under certain conditions, Nedfield maintains a call option for the
remaining 25 % stake in CIBV.
Nedfield intends to summon an Extraordinary Shareholder’s Meeting in February 2009, at which,
among other things, the new transactions will be clarified.
